Liability Waiver and Assumption of Risk

READ CAREFULLY. This document affects your legal rights, including the rights of the minor athlete in your care. By using the ParentEdge service, you agree to the terms set forth in this Waiver on your own behalf and on behalf of the Athlete.

This Liability Waiver and Assumption of Risk ("Waiver") is entered into between you ("you," "the Parent" or "Parent/Guardian") and CSM Inc., a Michigan corporation operating the ParentEdge service ("CSM," "we," or "ParentEdge"). You enter into this Waiver on your own behalf and on behalf of the minor athlete in your legal care (the "Athlete").

1. Nature of the Service

ParentEdge is a software service that uses artificial intelligence to generate developmental observations, practice planning suggestions, drill recommendations, mental performance notes, summaries, and other conversational guidance for youth athletes, based on information provided by the Parent.

You acknowledge and understand that the Service:

  • Is not professional coaching advice. ParentEdge is not a licensed athletic coach, trainer, or sports performance professional. Outputs from the Service do not constitute coaching by a credentialed instructor.
  • Is not medical advice. ParentEdge does not diagnose, treat, prevent, cure, or recommend treatment for any physical condition, injury, or illness. ParentEdge is not a substitute for evaluation, advice, or treatment by a qualified healthcare provider.
  • Is not psychological, mental health, or counseling advice. ParentEdge does not provide therapy, counseling, or any form of mental health care. Mental performance observations are general developmental commentary, not clinical assessment.
  • Is not nutritional, dietary, or physical therapy advice.
  • Produces computer-generated outputs. Outputs are produced by artificial intelligence models and may contain inaccuracies, errors, or recommendations that are not appropriate for your specific Athlete. The Service does not know the Athlete personally and relies entirely on the information you provide.

2. Acknowledgment of Risk

You acknowledge and understand that athletic activities of any kind — including but not limited to running, jumping, throwing, kicking, swimming, skating, contact sports, conditioning, stretching, agility drills, and any other exercise or training movement — involve inherent risks of physical injury, including serious injury and, in rare cases, death. These risks include but are not limited to:

  • Sprains, strains, bruises, lacerations, fractures, dislocations, and other musculoskeletal injuries;
  • Concussions, traumatic brain injuries, and other head and neck injuries;
  • Spinal injuries;
  • Cardiovascular events, including in individuals with undiagnosed conditions;
  • Heat-related illness, dehydration, and exhaustion;
  • Injuries resulting from contact with other athletes, equipment, surfaces, or environmental hazards;
  • Aggravation of pre-existing conditions;
  • Emotional or psychological distress.

These risks exist whether or not the Athlete is following any specific guidance from the Service, and they may arise from the Athlete's own conduct, the conduct of others, equipment failure, weather, surface conditions, or other causes — including causes that could not have been reasonably anticipated.

3. Voluntary Assumption of Risk

Knowing all of the above, you voluntarily and knowingly assume all risks, both known and unknown, associated with the Athlete's participation in athletic activities undertaken in connection with, or following any guidance generated by, the Service — on your own behalf and on behalf of the Athlete.

4. Parental Responsibility

You acknowledge that, as the Parent or Legal Guardian, you bear full responsibility for the Athlete's safety, supervision, and well-being. You agree that:

  • You will exercise your own independent judgment, in consultation with qualified professionals (including coaches, trainers, and healthcare providers) where appropriate, in deciding whether and how to apply any guidance from the Service to your Athlete;
  • You will ensure that the Athlete is in appropriate physical condition for any activity, and that medical clearance has been obtained if there is any question about the Athlete's fitness to participate;
  • You will not use the Service to override, replace, or delay medical evaluation, professional coaching, or other licensed advice;
  • You will provide age-appropriate supervision during any physical activity;
  • You will seek prompt professional medical evaluation for any injury, illness, sign of distress, or other concerning physical or mental health symptom in the Athlete;
  • You will ensure that physical activities are performed in a safe environment with appropriate equipment and conditions.

5. Release and Waiver of Claims

To the fullest extent permitted by law, you, on your own behalf and on behalf of the Athlete, the Athlete's heirs, executors, administrators, assigns, and any person who may claim through or on behalf of either of you, hereby RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE CSM Inc. and its officers, directors, employees, agents, contractors, and affiliates (collectively, the "Released Parties") from any and all claims, demands, damages, costs, expenses, causes of action, judgments, or losses of any kind — whether known or unknown, anticipated or unanticipated, arising in law or in equity — arising out of or in any way connected with:

  • Any injury, illness, harm, or death to the Athlete arising from physical, athletic, or other activities undertaken in connection with or following guidance from the Service;
  • Any reliance on AI-generated outputs from the Service;
  • Any decision made, action taken, or action not taken in reliance on the Service or its outputs;
  • The condition of any practice or playing surface, equipment, or environment in which the Athlete participates in activities related to the Service.

This release applies to claims arising from ordinary negligence by any of the Released Parties. It does not apply to, and does not release, claims arising from gross negligence, willful or intentional misconduct, or any liability that cannot be waived under applicable Michigan law.

6. Indemnification

You agree to indemnify, defend, and hold harmless the Released Parties from and against any claims, demands, damages, costs, or expenses (including reasonable attorneys' fees and court costs) brought by any third party — including, without limitation, claims brought by the Athlete or any person on the Athlete's behalf — arising from or related to:

  • Your use of the Service;
  • The Athlete's participation in any physical, athletic, or other activity undertaken in connection with the Service;
  • Your breach of this Waiver or of the ParentEdge Terms of Service.

7. Outputs Directed at the Athlete

You acknowledge that certain Outputs from the Service — including, without limitation, "coaching briefs," letters, age-calibrated messages, and other personalized written content — may be intentionally drafted in language, tone, and framing directed at the minor Athlete, with the expectation that you, the Parent, will review, vet, and choose whether to share such Outputs with the Athlete at your sole discretion.

You agree and acknowledge that:

  • You will review every Output for age-appropriateness, accuracy, tone, and suitability for your specific Athlete before sharing, reading, or otherwise communicating it to the Athlete;
  • You retain full and sole discretion over whether to share any Output with the Athlete; no Output is delivered to the Athlete directly by the Service;
  • The Parent serves as the sole intermediary between the Service and the Athlete. CSM Inc. has no direct relationship — contractual, fiduciary, professional, or otherwise — with the Athlete and owes no direct duty of care to the Athlete;
  • You assume responsibility for any psychological, emotional, developmental, behavioral, or other effect on the Athlete arising from Outputs you choose to share with the Athlete, and you assume that risk on your own behalf and on behalf of the Athlete;
  • You will not represent or hold out the Service, or any Output from it, as having been authored, endorsed, supervised, or approved by a licensed coach, therapist, medical professional, or other credentialed party;
  • If, at any time, an Output appears inappropriate, inaccurate, harmful, or unsuited to your Athlete, you will not share it with the Athlete.

8. No Professional Relationship

Nothing in your use of the Service creates, or shall be deemed to create, any of the following relationships between you, the Athlete, or any third party on one hand, and CSM Inc. or any Released Party on the other:

  • Doctor-patient relationship;
  • Coach-athlete relationship;
  • Therapist-client or counselor-client relationship;
  • Trainer-trainee or instructor-student relationship;
  • Any other professional, fiduciary, or duty-of-care relationship.

9. Acknowledgment of Authority

You represent and warrant that you are the parent or legal guardian of the Athlete and have full legal authority to enter into this Waiver on the Athlete's behalf. You acknowledge that you have had the opportunity to consult with legal counsel of your own choosing before agreeing to this Waiver.

10. Severability

If any provision of this Waiver is held to be unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.

11. Governing Law

This Waiver is governed by the laws of the State of Michigan, without regard to its conflict-of-law principles. Any dispute arising out of or related to this Waiver is subject to the same dispute resolution and venue terms as the ParentEdge Terms of Service.

12. Entire Agreement on Liability and Risk

This Waiver, together with the ParentEdge Terms of Service and Privacy Policy, constitutes the entire agreement between you and CSM Inc. with respect to liability, assumption of risk, and release of claims relating to the Service.
